These Terms of Service (“Terms”) govern your access to and use of the Parimaar platform, website, software, APIs, communication tools, omnichannel posting services, and customer engagement solutions (“Services”) operated by Namespark Technologies LLP (“Company”, “we”, “our”, or “us”).

By accessing or using Parimaar, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under applicable law to use the Services.

If you use the Services on behalf of a business or organization, you represent that you are authorized to accept these Terms on behalf of that entity.

2. Description of Services

Parimaar provides omnichannel communication and customer engagement tools including but not limited to:

• Social media publishing and scheduling
• Customer communication management
• Messaging integrations
• Chat and engagement workflows
• Campaign management
• Analytics and reporting tools
• Third-party platform integrations

3. Account Registration

Users may be required to register an account to access certain Services.

You agree to:

• Provide accurate and complete information
• Maintain updated account information
• Keep login credentials secure and confidential
• Be responsible for all activities under your account

You must immediately notify us of any unauthorized use or security breach involving your account.

4. Acceptable Use Policy

You agree not to use the Services for:

• Spam or unsolicited communications
• Illegal or fraudulent activities
• Harassment, abuse, or harmful conduct
• Distribution of malware or malicious code
• Violating third-party intellectual property rights
• Unauthorized access to systems or networks
• Sending deceptive or misleading communications
• Violating third-party platform policies

We reserve the right to suspend or terminate any account involved in prohibited activities.

5. User Responsibilities

Users are solely responsible for:

• Content published through the Platform
• Obtaining customer consents where required
• Compliance with telecom and marketing regulations
• Maintaining backup copies of important data
• Ensuring lawful usage of third-party integrations

6. Subscription, Billing, and Payments

Certain Services may require payment of subscription or usage fees.

• Fees are billed according to selected plans
• All payments must be made on time
• Taxes applicable under Indian law may apply
• Failure to pay may result in service suspension
• Unless otherwise stated, payments are non-refundable

We reserve the right to revise pricing or subscription models at any time with reasonable notice.

7. Third-Party Integrations

The Services may integrate with third-party applications and platforms such as WhatsApp, Facebook, Instagram, LinkedIn, Telegram, email providers, and other external services.

We are not responsible for:

• Third-party service availability
• API restrictions or policy changes
• Third-party content or communications
• Data practices of external platforms

8. Intellectual Property Rights

All rights, title, and interest in the Platform, software, branding, logos, designs, content, and technology are owned by or licensed to Namespark Technologies LLP.

Except as expressly permitted, users may not:

• Copy or redistribute platform content
• Reverse engineer or modify software
• Use Parimaar trademarks without permission
• Create competing derivative works

9. Data and Privacy

Use of personal information is governed by our Privacy Policy.

By using the Services, you acknowledge and agree to our data collection, processing, and storage practices described therein.

10. Service Availability

We strive to maintain reliable and uninterrupted Services. However, we do not guarantee that the Platform will always be available, error-free, secure, or uninterrupted.

Maintenance, upgrades, outages, internet issues, or third-party service interruptions may affect service availability.

11. Limitation of Liability

To the maximum extent permitted by law, Namespark Technologies LLP shall not be liable for:

• Indirect or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of customer data or communications
• Service interruptions or third-party failures
• Unauthorized access or cyber incidents

Total liability, if any, shall not exceed the fees paid by the user to the Company during the preceding three months.

12. Indemnification

You agree to indemnify and hold harmless Namespark Technologies LLP, its partners, employees, affiliates, and service providers from claims, damages, losses, liabilities, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable laws
• Content or communications initiated by you

13. Suspension and Termination

We reserve the right to suspend, restrict, or terminate access to the Services at our discretion for:

• Violation of these Terms
• Illegal or harmful activities
• Non-payment of fees
• Security or operational risks

Users may discontinue use of the Services at any time.

14. Compliance with Indian Laws

Users agree to comply with all applicable laws and regulations in India, including but not limited to:

• The Information Technology Act, 2000
• The Digital Personal Data Protection Act, 2023
• TRAI regulations relating to communications
• Consumer protection and electronic commerce laws
• Applicable intellectual property laws

15. Governing Law and Jurisdiction

These Terms shall be governed and interpreted in accordance with the laws of India.

Any disputes arising out of or relating to the Services, these Terms, or the relationship between the parties shall be subject to the exclusive jurisdiction of the competent courts located in Tiruppur, Tamil Nadu, India.

16. Modifications to Terms

We may modify or update these Terms from time to time. Updated versions will be posted on this page with the revised effective date.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
